I am not a lawyer, but what mine did for my firm is create a Master Services Agreement (MSA) that I use as a starting point for all my clients. Some of the things that I think are important to include are:

* Stipulation of ownership and licensing for the deliverables.

* Confidentiality

* Disclaimer of warranties (Software provided as is)

* Limitation of liability

* Acceptance terms for deliverables

In my experience the money that I spent having a qualified lawyer who understands small business and intellectual property prepare and support my use of this agreement has been very helpful. The right lawyer will have a draft that he can start with and modify for your requirements.

You can also work with your lawyer to determine the right way to organize your firm (LLC/S-Corp/etc).

Shortcodes are an easy way to type 5 or 6 numbers and send a quick message. I use the google shortcode to get phone numbers for local businesses. It saves a trip to the browser and is an easy way to retrieve information without leaving the "phone" feature of my smart phone.

I have been looking forward to checking out Chrome OS, but haven't had time to download one of the installers out there right now. It will be nice to have an official, easy to install version, if they release one. Do they plan to make it easy for people to download and install the OS, or are they mostly going to market it to device manufacturers?

For one thing, Google Voice sms does not work with shortcodes, so if you want to use any sms service based on a shortcode, Google Voice will not work.

I have always struggled with the tax consequences combined with the high volatility and lack of liquidity in receiving equity in a start up type of company, with the confusion of the tax laws around it. I don't mind paying more in taxes if I can delay the issuance of stock (in the RSU scenario), but I have a hard time paying taxes up front on something as volatile and illiquid as stock in a start up company. Hopefully the RSU scenario will get tested and more accountants / lawyers will be more comfortable with this scenario.

I suggest you use the metaphor of dating for the "looking for a co-founder" phase, and marriage for the "when you start a business with them" phase.

As I am sure you know from working on this, it is an incredibly multi-variate match situation. Not an easy one to figure out!

Deciding to make someone a co-founder is a huge decision. You are starting a business with this person, and I suggest you really get to know someone before starting a business with them. Its easy to start a business, but its very difficult to see one through to success. The path is not easy, and although you can use something like the Github search to find candidates, I suggest you spend time working with someone before you go and start a business with them.

Do you really need wire transfers, or would ACH transactions suffice? Wires generally have a fairly significant fee schedule associated with them.

I was glad to see that these new locomotives include regenerative braking to put power back into the grid. Is that a new feature for these routes or did the electric locomotives that are being replaced also include this feature?

Whoever designed and built the Mars Rovers deserves a huge amount of credit. These things lasted far longer than expected and continue to produce useful data even after they were trapped. Fine hackers must have put these together.

The reason we ended up learning php at my company was pure market demand. We kept getting prospects whose websites written in php and we either learned and got the business or we said no and missed out. There is a ton of php out there, and if you want to build your business up on consulting revenue, its hard not to use it fairly regularly.

A penny is "worth" one cent in that it is the value it represents. However, it can be exchanged many times contributing value in each exchange. Also, there are many other coins that likely cost less to mint than they are "worth". I think you need to look at the overall cost of minting for all coins and blend it together to get a more accurate view.

The answer is, "it depends". It depends on how the companies investments are structured. For example, if a VC on the A round has a 2x or more liquidation preference, that can change the distributions significantly. There could also be phantom stock agreements, warrants, notes of various values, etc, that can make a large difference.

I work with a mobile marketing company that uses OpenMarket as their SMS hub, and I have been quite pleased with them so far. They provide a consistent API and callback feature for sms that bridges over to the mobile networks.

People quit jobs all the time. For you, this is a big deal because you don't quit jobs all that often. I suggest that you explain to your employer what happened, and ask for your current job back. Chances are they will be happy to have you back.

Based on what I see in the local paper, in the medical marijuana dispensaries here in Boulder, regular prices range from around $12 to $16 per gram for high grade medical marijuana. There are a variety of specials that bring it down to around $10, but that price seems low as a regular price. I suspect price varies a fair amount by location. I have heard in CA the prices are closer to $20 per gram in the dispensaries there.

Interestingly enough, the price at the dispensaries seems to be about what street prices were before the medical marijuana dispensaries became so prevalent, maybe even a tad lower.

I think the author chose a poor title for the article. The continuing shrinkage of Blockbuster is just a continuing reinforcement of the fact that DVD sales and rentals will decrease as digital downloads and streaming continue their growth. If anything this is confirmation that the end is a lot closer than the begining.

I hope they decide to sell cartridges for this. My original 2600 is still working after all these years, although it gets more challenging every year to hook it up to the TV as the connectors lag further and further behind. Anyone makeing a game/tv switch for hdmi? :)

I love that Dave McClure was able to put together a $30 million dollar fund. I like the idea of investments being made pre product/market fit, with subsequent double down investments once the ideas gain traction.

I had a sister with a severe mental disability (Rett Syndrome) who died at the age of 17. A very wise, (and very broke) parent of another girl with Rett Syndrome explained to us that if you have a problem that money can solve, you don't really have a problem. While I do not posess a great deal of monetary wealth, this idea has helped me differentiate between fiscal problems and other, in many ways, more challenging problems.
