lets say you hav an div with contenteditable and an textarea. In both of them you add an unencoded string '<span style="color:red">bla</span>'. the textarea displays the text, the div parses it an add it as an valid child element to the dom. this means you can make an editor without much work with contenteditable, but not with textarea.
