jwb119··on Show HN: Ironclad – an automated legal assistant
> There are thousands of different NDA and contractor forms floating out there on the Internet but they don't come with explanations of the qualifications/experience of the drafter.

This is really interesting and something we're looking at. Looks like you're an attorney as well.. let me know if you have an interest in chatting about this!

jwb119··on Show HN: Ironclad – an automated legal assistant
Yeah Box is great, and I agree a lot of enterprises use it. It'd be cool to work with them as well (though obviously we don't do it now).

Good points on the privacy policy and data security - it's a priority but not reflected on the site right now. We'll do that.

Thanks for taking a look :)

jwb119··on Show HN: Ironclad – an automated legal assistant
Hmm, we were actually going for the same point you're making by using that analogy. The thinking is that lawyers handle legal advice (and practice law), while legal assistants handle legal administrative work (and don't give legal advice or practice law). Maybe there's a better way to say that though. I'll think about it, thanks for bringing that up!
jwb119··on Show HN: Ironclad – an automated legal assistant
Hey John, thanks for your comments. Really appreciate you taking a look and I hear your points. Your question is probably rhetorical, but we're certainly not trying to give legal advice here (and we've been careful to build this in a way that it's clearly an admin tool and not a replacement for legal advice). As far as the "jump right in goes" - just trying to fit in to the spirit of a Show HN and have people play around with something we've built.
jwb119··on Show HN: Ironclad – an automated legal assistant
Awesome, thanks for checking it out and for the feedback! This kind of stuff is great.

I think the process server / courier is an interesting analogy. We're definitely not trying to replace lawyers here, but we do want to separate out the admin work and make the whole process more efficient.

jwb119··on Show HN: Ironclad – an automated legal assistant
That's where Dropbox is really cool actually. They have a bunch of great collaboration tools. The way we handle it is we do all the admin stuff - collecting info, filling in the docs, putting in tags for e-signatures - then we drop it in a dropbox folder so that humans can edit the document. When the humans are done editing, just tell Ironclad to pick it back up and we'll go from there :)
jwb119··on Show HN: Ironclad – an automated legal assistant
That's correct, we're working on getting that up. Thanks for pointing that out. Right now we're mainly just looking for feedback on whether this is something that people might find useful.
jwb119··on Show HN: Ironclad – an automated legal assistant
Hey HN! we created a better way to handle the most common paperwork needed by startups. Just sync a Dropbox folder with us and we’ll take care of all the legal paperwork for NDAs, Contractor agreements and LOIs and organize it in that folder automatically for you. We’re really looking for feedback on the flow and so any feedback is much appreciated.

The best way to jump right in is to go through signup and do a Letter of Intent (LOI) - you can just sign one with yourself to try it (use the same email, but use a slightly different name so you can tell the parties apart).

Thanks for taking a look!

jwb119··on Ask HN: Law School?
Happy to talk to you about this if you'd like. Contact info is in my profile.
jwb119··on We picked the wrong lawyers for our first startup
Maybe if you're a regular cash flow business. But if you're seeking VC money, you absolutely should be incorporating in DE or you risk running into the headache described in the article, IMO.

jwb119··on Ask HN: How did you pick your lawyer or law firm?
I'm a startup lawyer at one of the big firms in SV.

My recommendation would be to shop around and find someone that you like working with, and most importantly, ask to meet the junior associate that will be doing most of the work for you. Your ideal fit will be a partner that will help you with the big strategic decisions (because they've seen other startups grow) and a junior associate that is responsive and fun to work with.

jwb119··on Show HN: One-click citations for your essays
Awesome job. Would be really cool to see something like this for legal citations as well.
jwb119··on Boardinghouses: where the city was born
SF in particular seems to be reviving the general concept of the boarding house[1]. It's interesting to think about the extent to which this trend might be related to high rents.

jwb119··on Announcing the Safe, a Replacement for Convertible Notes
So the Series A investors would essentially be cashing out the BOOST investors? I don't think any Series A investor would go for this. They want to see all the money go into company growth at that stage.
jwb119··on Announcing the Safe, a Replacement for Convertible Notes
The subtlety is the Safe converts into a shadow class of securities with rights similar to the next round of preferred stock that the company issues. So those securities are not yet issued, their terms will be negotiated when the company raises that round.

In that case of your ISOs, those would be tied to the existing common stock of the company. While the actual shares that you might exercise on aren't yet issued, the class of stock itself exists and the terms are set.

jwb119··on Announcing the Safe, a Replacement for Convertible Notes
Right, but I wasn't speaking in the broad sense. In the legal sense, an option has to have a very specific underlying security. That's the case with even a naked option - you know exactly what the underlying security is. The Safe is substantively different because the underlying security isn't defined at that specific level.

But agreed, kudos to YC :)

jwb119··on Announcing the Safe, a Replacement for Convertible Notes
Just like a convertible note, as soon as there is an equity financing the Safe would just "convert" into a class of preferred stock. So you wouldn't have the valuation problem after you do a first financing, if I understand correctly.
jwb119··on Announcing the Safe, a Replacement for Convertible Notes
An option, strictly speaking, has an underlying security that already exists. The Safe, like a convertible note, doesn't have an underlying security yet, since the company hasn't created the preferred stock that it would convert into yet.
jwb119··on Trial week: Our hiring secret
Really curious to know how the legal aspect of this is handled. It would seem to be a bad thing if these people are working on real projects for Weebly, but their IP is covered by an existing employment agreement with a competitor, for instance. I might be missing something with the scope of the work though.
jwb119··on Fucking Sue Me (2011)
The lesson from this isn't that you shouldn't get a lawyer to review your 400k business critical contracts, it's that you should pick a lawyer who knows what's important to fight about and what's not, and understands the objectives of the business. The "Sue me!" attitude is pretty shortsighted thinking.

Disclaimer: lawyer here.

jwb119··on Ask HN: Intern Housing in Sunnyvale/Mountain View?

jwb119··on Ask HN: Do you have side projects you want to sell?
"Sell HN" would be an interesting thread. I like this idea.
jwb119··on Colour footage of London in 1927
Two things stuck out to me:

1) How similar everyone dresses

2) How clean everything looks

jwb119··on Ask HN: Can I visit your SF startup?
To everyone responding to this, please feel free to email me or get in touch on twitter (both in my profile) so we can organize something. I didn't see contact info for you guys. Should be fun!
jwb119··on Ask HN: Got into YC. Where do we live?
I may have a furnished spare bedroom available, just off of Castro Street about a mile from YC. Feel free to ping me.
jwb119··on Ask HN: Can I visit your SF startup?
Not a startup, but I'm usually around Mountain View if you want to grab coffee or a drink. Maybe we can even get some other HN people to join?

Is this online anywhere? I'd be interested in checking it out.
jwb119··on My Time at Lehman
Oh, I didn't mean to imply that there is fraud in the vast majority of cases. Just that there is some subset of that behavior that produces fraudulent activity.
