This is for covertly buying Twitter shares prior to his offer to acquire.

He failed to disclose his position when he was required to do so. He tried to hide his position to keep others from piggybacking on him.

This is stock market manipulation, (he is a recidivist) which the SEC does not take kindly to.

And he will receive the ultimate penalty. A very stern talking to!
