Ask HN: Under what circumstances would you sign an NDA or non-compete

Interested in what other HN contractors do when asked to sign an NDA or non-compete. Almost every time I get one of these and read it, it is overly restrictive of my rights. I'm always open to fair agreements that protect the company without unnecessarily limiting the rights of the developer, but most I've read do not meet this criteria.
